The CityHousing Hamilton (CHH) Board of Directors was unable to formally approve business on Wednesday, November 5, due to the absence of three of the five council members on the Board. The failure to achieve quorum meant the CHH 2024 Audited Financial Statements were not approved and a motion to reappoint KPMG as auditor for 2025 was delayed.

Councillors Cameron Kroetsch, Tom Jackson, and Alex Wilson were absent from the special meeting. Councillors Nrinder Nann and Tammy Hwang were present.

To address the quorum shortfall, the board decided to meet without quorum as if the absent councillors were present. The absent councillors will be requested to watch the YouTube video of Wednesday’s meeting and then submit their votes on items at a later date. An electronic Webex gathering will then be organized as an emergency workaround to pass the required resolutions.

“We will move to an alternative format to have Board approval of our AGM reports in order to have everything that we need approved in time prior to the shareholders meeting,” Nann stated.

While the Municipal Act requires quorum to advance public business, regardless of whether votes are conducted, the Housing Services Act, which partially governs CityHousing Hamilton, is silent regarding these requirements.

Three Quorum Failures in One Week

The CityHousing incident was the second of three quorum issues involving Hamilton City Council and its committees during the week of November 3.

On Wednesday, November 5, prior to the CHH meeting, the citizen-only Property Standards Committee failed to make quorum for the third time this year. This was the second month in a row the committee failed to make quorum. The committee consists of five citizen members. The failure to make quorum means that a Waterdown heritage property will likely be exposed to the elements throughout winter, among five property standards orders the City of Hamilton cannot enforce.

On Thursday, November 6, only three of the seven Hamilton councillors appointed to the Hamilton Conservation Authority Board of Directors participated in that meeting. Councillors Brad Clark and Craig Cassar attended in person. Councillor Alex Wilson participated via Webex video conference. Councillors Maureen Wilson, Matt Francis, Jeff Beattie, and Mike Spadafora did not attend.

The Hamilton Conservation Authority Board met quorum thanks to the full participation of its citizen appointees and Puslinch Councillor Susan Fielding.
